The Olivia Companies, LLC grants you a non-exclusive, non-sublicenseable and non-assignable right to use and reproduce the provided image(s) solely for the promotion of the Olivia Companies, LLC and their products and services. All images remain the property of the Olivia Companies LLC and are licensed to you solely to advertise Olivia goods and services. In accordance with the Olivia Companies, LLC’s model release, images may not be used to promote, either directly or by association or implication, any other companies, goods or services. If the image(s) are in close proximity to, or may otherwise appear to refer to or promote a company other than, or in addition to, Olivia Companies, LLC, or its goods or services, then it must be noted next to the image(s) that said image(s) pertain only to Olivia. Any questions regarding the acceptable use of images will be decided by the Creative Director at Olivia Companies, LLC.
You may not sublicense, sell, assign, distribute, convey or transfer images provided by Olivia Companies LLC or its representatives. The Olivia Companies, LCC reserves the right to (i) not permit use of any image(s) for any reason whatsoever; and (ii) notify you that certain image(s) are no longer available for use. If the Olivia Companies, LLC terminates your right to use an image or images, you must immediately (i) stop using the image(s); (ii) destroy or, upon the request of the Olivia Companies, LLC, return the image(s) to us and (iii) delete or remove the image(s) from your premises, computer systems and storage (both physical and electronic). In the event of termination, any and all rights and permissions granted will immediately revert to the Olivia Companies, LLC. You may not use the image(s) in any way that could be considered defamatory, pornographic, libelous, immoral, obscene, fraudulent, illegal or otherwise questionable and which could reasonably bring the Olivia Companies LLC, the photographer or a person or property in the image to disrepute, whether directly or in context or juxtaposition with other materials. Olivia Companies, LLC shall not be liable to you or any other person or entity for any general, punitive, special, indirect, consequential or incidental damages, lost profit or any other damages, costs or losses arising out of your use of the image(s) supplied by the Olivia Companies, LLC. You agree to indemnify and hold harmless the Olivia Companies LLC and anyone associated with the Olivia Companies, LLC against claims, damages, losses, expenses or costs, including legal costs, arising in any manner whatsoever from your use of any image supplied to you by the Olivia Companies, LLC.
